Payment Terms & Conditions

1. Introduction

These Payment Terms and Conditions ("Payment Terms") govern all financial transactions between you ("Customer", "you", or "your") and FlowVault MFT ("FlowVault", "we", "us", or "our") in connection with the purchase of subscriptions, licences, and professional services for the FlowVault Managed File Transfer platform.

By completing a purchase or subscribing to any FlowVault MFT plan, you confirm that you have read, understood, and agree to be bound by these Payment Terms, which form part of the FlowVault MFT Terms of Service.

2. Accepted Payment Methods

FlowVault MFT accepts the following payment methods for all subscription plans:

All credit and debit card transactions are processed through a PCI-DSS Level 1 certified payment gateway. FlowVault MFT does not store, transmit, or process raw card data on its own servers.

3. Visa Card Payments

FlowVault MFT accepts all major Visa card types, including Visa Classic, Visa Gold, Visa Platinum, Visa Signature, Visa Infinite, and Visa Business cards. When paying by Visa card, the following conditions apply:

• Your card must be enabled for online or card-not-present (CNP) transactions. Contact your issuing bank if you encounter authorisation issues.
• Visa Secure (formerly Verified by Visa) 3D Secure authentication may be required for additional cardholder verification.
• The billing name and address entered at checkout must match the details registered with your card issuer.
• FlowVault MFT reserves the right to request additional identity verification for high-value transactions.
• Transactions will appear on your card statement as FLOWVAULT MFT.
• Pre-authorisation holds may be placed on your card for the subscription amount before final settlement.

4. Subscription Billing Cycles

FlowVault MFT subscriptions are billed on a recurring basis according to the following schedule:

• Monthly billing: Your card is charged on the same calendar date each month as your initial subscription date.
• Annual billing: Your card is charged once per year on the anniversary of your subscription start date.
• Pro-rata charges: If you upgrade your plan mid-cycle, you will be charged a pro-rata amount for the remainder of the current billing period.
• Failed payments: If a payment fails, we will retry up to three times over seven days. If payment remains unsuccessful, your account will be suspended until the outstanding balance is settled.

5. Taxes and Duties

All prices listed on the FlowVault MFT website are exclusive of applicable taxes unless otherwise stated. The following tax provisions apply:

• Customers in jurisdictions subject to Value Added Tax (VAT), Goods and Services Tax (GST), or similar consumption taxes will be charged the applicable rate at checkout.
• Customers who provide a valid VAT registration number (EU/UK) will receive invoices with VAT reverse-charged where applicable.
• US customers in states with applicable software sales tax will be charged accordingly.
• FlowVault MFT is not responsible for any import duties, withholding taxes, or other charges imposed by your local jurisdiction.

6. Refund and Cancellation Policy

FlowVault MFT offers a 30-day money-back guarantee on all new subscriptions. The following terms apply:

• Eligibility: Refund requests must be submitted within 30 calendar days of the initial subscription payment date.
• Scope: The money-back guarantee applies to first-time purchases only. Renewals, upgrades, and add-on services are not eligible for refunds.
• Process: To request a refund, email billing@flowvault.io with your account email, order reference, and reason for the refund request.
• Processing time: Approved refunds will be credited to the original payment method within 5–10 business days.
• Cancellation: You may cancel your subscription at any time from the account portal. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued after the 30-day guarantee window.
• Exceptions: Refunds will not be issued for accounts terminated due to violation of the Terms of Service.

7. Invoices and Receipts

FlowVault MFT issues electronic invoices and payment receipts for all transactions. The following provisions apply:

• Invoices are automatically emailed to the billing email address on file within 24 hours of each successful payment.
• Invoices are also available for download from the Billing section of the FlowVault MFT account portal.
• Invoices include the subscription plan, billing period, applicable taxes, and total amount charged.
• For Enterprise customers on purchase order terms, invoices are issued with Net-30 payment terms unless otherwise agreed in writing.
• Requests for amended invoices (e.g., updated company name or VAT number) must be submitted within 30 days of the invoice date.

8. Payment Security

FlowVault MFT takes payment security seriously. The following security measures are in place:

• All payment pages are served over HTTPS with TLS 1.2 or higher encryption.
• Card data is processed exclusively through our PCI-DSS Level 1 certified payment gateway partner.
• FlowVault MFT does not store, log, or have access to full card numbers, CVV codes, or card PINs.
• Tokenisation is used to facilitate recurring billing without storing sensitive card data.
• Suspicious payment activity may trigger additional verification steps or temporary holds for fraud prevention purposes.

9. Disputed Charges and Chargebacks

If you believe a charge has been made in error, please contact our billing team at billing@flowvault.io before initiating a chargeback with your card issuer. We are committed to resolving billing disputes promptly and fairly.

• Initiating a chargeback without first contacting FlowVault MFT may result in immediate account suspension pending investigation.
• Fraudulent chargeback claims may result in permanent account termination and referral to relevant authorities.
• FlowVault MFT will provide all necessary documentation to your card issuer to dispute fraudulent chargebacks.

10. Price Changes

FlowVault MFT reserves the right to modify subscription pricing at any time. The following notice provisions apply:

• Existing subscribers will receive at least 30 days' written notice of any price increase via email.
• Price changes take effect at the next renewal date following the notice period.
• If you do not agree to the new pricing, you may cancel your subscription before the renewal date without penalty.
• Promotional or discounted pricing is valid only for the period specified at the time of purchase.

11. Currency and Exchange Rates

All FlowVault MFT subscriptions are priced in United States Dollars (USD) unless otherwise specified. If your card is denominated in a different currency, your card issuer will apply their prevailing exchange rate at the time of the transaction. FlowVault MFT is not responsible for any currency conversion fees charged by your bank or card issuer.

12. Governing Law

These Payment Terms are governed by and construed in accordance with the laws of the jurisdiction in which FlowVault MFT is incorporated. Any disputes arising from these Payment Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless otherwise agreed in writing for Enterprise customers.
